Wisenet Terms of Use

The terms and conditions detailed below are binding on any use of the Service and apply to You from the time that Wisenet provides You with access to the Service.

Wisenet reserves the right to change these terms at any time, effective upon the posting of modified terms and Wisenet will make every effort to communicate these changes to You via email or notification via the Website. It is Your obligation to ensure that You have read, understood and agree to the most recent terms available on the Website.

By signing Your Proposal/Quotation for the Service you acknowledge that You have read and understood these Terms of Use and have the authority to act on behalf of any person for whom You are using the Service. By continued use of the Service, You are deemed to have agreed to these Terms of Use on behalf of any entity for whom you use the Service.

 

1. Definitions and Interpretation

 

1.1 Definitions

In this Agreement:

“Agent” means Wisenet’s affiliates, contractors, third-party suppliers or any other entity that provides goods or services to Wisenet.

“Agreement” means the Wisenet Terms of Use (these terms and conditions), Proposal/Quotation document and any other document incorporated by reference.

“Authorised User” means persons You have authorised to be Users.

“Back Up” means daily copies of the Data which may be used to restore the lost Data in the event of an error in which Data is destroyed by failures in storage, transmission, processing or other like cause.

“Business Day” means Monday to Friday, excluding National and State Public Holidays, Christmas Day and Boxing Day.

“Business Hours” means 9am to 5pm, Melbourne time, on any Business Day.

“Claim” means, in relation to a person, a claim, demand, remedy, suit, injury, damage, loss, cost, liability, action, proceeding, right of action, claim for compensation or reimbursement or liability incurred by or to be made or received by or against the person.

“Commencement Date” means the date the Proposal/Quotation (Annexure ‘A’) is signed by the customer (You).

“Confidential Information” means all information contained within the Service or provided to You by Wisenet or its Personnel, including but not limited to designs, concepts, product designs (whether registered or not), trade marks, copyright and rights in the nature of copyright, patents, patterns, drawings, models, computer generated designs or images, any rights under licence, know- how, techniques, technical information and technical drawings, any information marked "confidential" or which Wisenet informs You is confidential or a trade secret, details of and information about Wisenet’s intellectual property and any other commercial information about Wisenet or persons with whom Wisenet deals.

“Data” means any data or information input, saved or uploaded into an application by You or with Your authority.

“Defective” in relation to the Service, means that it:

a) does not conform to the Specifications; and/or

b) has a substantially significant error, defect or malfunction which does not conform with the Specifications; and/or

c) otherwise does not comply with the essential requirements of this Agreement.

"Event of Insolvency" means:
a) a "controller" (as defined in section 9 of the Corporations Act 2001 (Cth)), a trustee, administrator or similar officer is appointed in respect of a person or any asset of a person;

b) a liquidator or provisional liquidator is appointed in respect of a corporation;

c) an application (not withdrawn or dismissed within 7 days) is made to a Court of competent jurisdiction for an order, an order is made, a meeting is convened or a resolution is passed, for the purpose of:
 
i) appointing a receiver, manager, administrator, liquidator or provisional liquidator;
ii) winding up or deregistering a corporation; or
iii) proposing or implementing a scheme of arrangement other than with the prior approval of the Customer under a solvent scheme of arrangement pursuant to Part 5.1 of the Corporations Act 2001 (Cth);
 
d) any event or conduct occurs which would enable a Court of competent jurisdiction to grant a petition, or an order is made, for the bankruptcy of an individual or his estate under any Insolvency Provision;
 
e) any application (not withdrawn or dismissed within 7 days) is made to a Court for an order, a meeting is convened, a resolution is passed or any negotiations are commenced, for the purpose of implementing or agreeing:
 
i) a moratorium of any debts of a person;
ii) a personal insolvency agreement;
iii) any other assignment, composition or arrangement (formal or informal) with a person's creditors; or
iv) any similar proceeding or arrangement by which the assets of a person are subjected conditionally or unconditionally to the control of that person's creditors or a trustee,
 
f) any agreement or other arrangement of the type referred to in paragraph (e) is ordered, declared or agreed to;

g) a person becomes insolvent under administration within the meaning of the Corporations Act 2001 (Cth);

h) as a result of the operation of section 459F(1) of the Corporations Act
2001 (Cth), a corporation is taken to have failed to comply with a statutory demand (as defined in the Corporations Act 2001 (Cth));

i) any writ of execution, garnishee order, mareva injunction or similar order, attachment, distress or other process is made, levied or issued against or in relation to any asset of a person;

j) the Commissioner of Taxation issues a notice to any creditor of a person under the Taxation Administration Act 1953 (Cth) requiring that creditor to pay any money owing to that person to the Commissioner in respect of any tax or other amount required to be paid by that person to the Commissioner (whether or not due and payable) or the Commissioner advises that creditor that it intends to issue such a notice;

k) anything analogous to anything referred to in paragraphs (a) to (j) (inclusive) of this definition, or which has a substantially similar effect, occurs with respect to a person under any law of any jurisdiction; or

l) a person is, or admits in writing that it is, or is declared to be, or is taken under any applicable law to be (for any purpose), insolvent or unable to pay its debts.

“GST” means the goods and services tax imposed by the A New Tax System (Goods and Services Tax) Act 1999 (Cth) (as amended).

“Insolvency Provision” means any law relating to insolvency, sequestration, liquidation or bankruptcy (including any law relating to the avoidance of conveyances in fraud of creditors or of preferences, and any law under which a liquidator or trustee in bankruptcy may set aside or avoid transactions), and any provision of any agreement, arrangement or scheme, formal or informal, relating to the administration of any of the assets of any person.

“Intellectual Property Rights” includes all present and future rights in relation to copyright, trade marks, designs, patents or other proprietary rights, or any rights to registration of such rights whether created before or after the date of this Agreement, and whether existing in Australia or otherwise.

“Log-In” means the identification and password provided to You by Wisenet as specified in the Specifications or any other identification that Wisenet provides to You in its absolute discretion. Wisenet reserves the right to ask You to reset or alter its Log-in at its absolute discretion.

“Moral Rights” means the moral rights granted under the Copyright Act 1968 (Cth), and any similar rights existing under foreign laws.

"Personnel" of a person means that person's directors, officers, employees, agents, contractors, sub-contractors and their respective personnel.

“Proposal” means the Training Management Proposal/Quotation annexed as Annexure “A” to this Agreement.

“Renewed Term” has the same meaning as set out in clause 2.1.4 of this Agreement.

“Service” means the web-based managed service specified in the Specifications, along with any software, printed media, printed materials and online documentation or Support Services provided by Wisenet in accordance with the Specifications.

“SPAM” has the same meaning given to the term under the Spam Act 2003 (Cth).

"Specifications" means the specifications outlined in this Agreement in conjunction with the Proposal/Quotation (Annexure ‘A’) and Wisenet Implementation Guide.

"Support Services" means the services set out in clause 5 of this Agreement.

“Term” means the term specified on the Proposal/Quotation (Annexure ‘A’).

“User” means any person who uses the Service.

“Subscriptions” means the number of user access seats You have purchased to use the Service as specified in the Specifications.

“Wisenet” means Wisenet - A Division of Adapt IT and/or it’s Agents.

1.2 Interpretation

In this Agreement, unless the context otherwise requires:

1.2.1 The "Description" section and headings are for convenience only and do not affect the construction or interpretation of this Agreement;

1.2.2 Words in the singular also include the plural and vice versa;

1.2.3 Words importing a gender include other genders;

1.2.4 A reference to a "person" includes an individual, the estate of an individual, a corporation, an authority, an association or a joint venture (whether incorporated or unincorporated), a partnership and a trust;

1.2.5 If a word or phrase is given a defined meaning, any other part of speech or grammatical form of that word or phrase has a corresponding meaning;

1.2.6 "includes" in any form is not a word of limitation; and

1.2.7 A reference to "$" or "dollar" is to Australian currency and an obligation to pay money is an obligation to pay in Australian dollars.

 

2. Specifications


2.1 Access to the Service

2.1.1 Wisenet will supply and You will acquire the Service on the terms of this Agreement.

2.1.2 Any time frame stipulated in the Specifications for the provision of the Service is an estimate only and may be amended by Wisenet from time to time.

2.1.3 You acknowledge and agree that You have read and understood the Specifications and are satisfied with and have accepted the Specifications. You further acknowledge and agree that You cannot make a Claim or withhold payment with respect to any issue arising from or in connection with the functionality or provision of the Service if Wisenet has provided the Service substantially in accordance with the Specifications.

2.1.4 You acknowledge and agree that this Agreement will be self-renewing on the anniversary of the Commencement Date for a twelve (12) month period (“Renewed Term”). This is an essential term of the Agreement.

2.2 Training

2.2.1 Wisenet will provide reasonable training to enable You and/or Your Personnel to properly operate the Service.

2.2.2 Wisenet will provide the training at the locations and at the times as agreed between the parties.

2.2.3 Wisenet will provide the training for the fee quoted to You in the Specifications or as agreed from time to time.

2.3 Invitations

2.3.1 You acknowledge that any Users You invite to use the Service will be required to establish their own Wisenet network account. You further acknowledge and agree that by inviting that User, they will be able to access the Data.

2.3.2 Wisenet warrants that You will be able to terminate a User’s access to the Data at any time.

2.3.3 You acknowledge that a User will retain access to other independent services provided by Wisenet subsequent to any termination of access of that User to the Data. If a User’s access to the Data is terminated, that User will no longer have access to the Data.

 

3. Data Storage


3.1 Options of Storage

3.1.1 You acknowledge and agree that your Data may be located and stored on foreign servers, at Wisenet’s sole discretion from time to time.

3.1.2 You may request to change the storage location at any time during the Term. You acknowledge and agree that Wisenet will charge You a fee for this change as advised to You by Wisenet.

3.1.3 In the event that You request to change the storage location at any time, Wisenet will use all reasonable endeavours to facilitate that change within a reasonable time. The time involved in changing the storage location will be advised to You by Wisenet.

3.1.4 Wisenet will take all reasonable endeavours to Back Up the Data. Should you obtain a copy of the Data, You agree it is Your sole responsibility to take all reasonable endeavours to Back Up that Data with redundancy methods in place to Your satisfaction.

 

4. Service Availability


4.1 Wisenet will provide You with Log-In information required to connect to and access the Service, including a sufficient number of Log-Ins to provide Users with access, to the maximum of the number of Subscriptions.

4.2 Wisenet shall use reasonable endeavours to ensure the connectivity and efficiency of the Service. In the event that You are unable to access the Service during the term of this Agreement due to any fault arising from Wisenet, Wisenet may, at its absolute discretion, issue You with an amount of credit equal to the time that You could not access the Service.

4.3 You acknowledge and accept that Wisenet may temporarily amend, repair or vary particular programs, information and facilities from time to time at its absolute discretion if required for the maintenance or repair of the Service, even if it will result in a variation, amendment or limitation of the functionality of the Service, a reduction in Service or a reduction in the availability of Data provided by the Service. If this occurs, Wisenet shall use its reasonable endeavours to restore full functionality of the Service within 14 days.

4.4 Wisenet shall use its reasonable endeavours to provide continuing availability of the Service for the duration of this Agreement, but You expressly acknowledge and accept that Wisenet may, at its absolute discretion and without notice, immediately suspend all or part of the Service:

a) Where there is a malfunction or breakdown of any of Wisenet’s equipment or if Wisenet is required to undertake the repair, maintenance or service of any part of the Service;

b) During planned downtime for maintenance;  Wisenet operates a Scheduled Daily Maintenance window between 4AM and 5AM AEST during which Wisenet may be put into maintenance mode for a maximum of 20 minutes without further notice.  A Wisenet service may become unavailable during the window if a particular system changes, such as storage, security, network or system upgrades are being applied which require an outage, and only for the minimum amount of time required to make the necessary changes.

c) Where there is any interruption resulting directly or indirectly from an electrical storm, tempest, electrical short circuit, power failure, telecommunications failure or fault, acts of God, civil or military authority, acts of public enemy, wars, accidents, fires, explosions, earthquakes, floods, strikes, labour disputes, Government action, shortage of suitable parts or any other cause beyond the reasonable control of Wisenet;

d) Where it is reasonably required to reduce or prevent fraud or interference with the Service;

e) Where Wisenet is required to do so to comply with an order, instruction or request of government, or a court or tribunal, or other such competent body;

f) Where Wisenet reasonably believes that the terms of this Agreement have been violated by You, Your Personnel or Users.

g) Where You fail to pay any charges due to Wisenet; or

h) To withdraw or vary the Service.

4.5 Third Party Applications
 
4.5.1  For third party applications hosted by Wisenet, Wisenet may carry out upgrades on applications from time to time including:
 
i) Infrastructure/Hosting upgrades
ii) Additional application features developed by Wisenet
iii) Correct bugs
iv) New features or versions of the software issued by the Vendor.
 
4.5.2  Wisenet will perform a maximum of one (1) upgrade selected and installed at Wisenet’s sole discretion per year on each third party application. These will include updating to software of the latest version that has been fully tested and all identified bugs corrected.

Wisenet may at its sole discretion choose to apply further third-party application upgrades.

4.5.3  Additional third-party application services charges include (but are not limited to):
 
i) Requests for specific upgrades or at a specific time
ii) Themes and third party plug-ins
iii) Theme or third party plug in breaks between versions
 
4.5.4  Wisenet will provide reasonable notice for when upgrades will occur. Applications will be unavailable during upgrade maintenance periods. Wisenet will make reasonable endeavours to minimise down-time, however upgrades may require up to three (3) days to complete. On completion, Wisenet will request You to test the application to ensure all data has migrated correctly. There may be instances where manual updates to data will be required by You.

 

5. Support and Maintenance


5.1 Inclusions

5.1.1 You agree that the Service is offered to You for Your use to the extent of the Subscriptions purchased by You as set out in the Specifications.

5.1.2 Wisenet agrees to use all its reasonable endeavours to continuously provide You with support and maintenance services in substantial conformity with the descriptions contained in the Specifications in accordance with the following:

a) Incremental Updates: These include, but are not limited to, updates arising from changes in government policy, refined interfaces and updated manuals.

b) Technical Support:
 
i) Wisenet agrees to provide technical support for the Service at all times during Business Hours on Business Days in accordance with the fees set out in the Specifications.
ii) You will be charged at Wisenet’s applicable consulting rate for any technical support services provided by Wisenet to You or in accordance with the fees set out in the Specifications.
iii) If the issue requiring technical support is determined to be one which arises from or in connection with a product or service not supplied by Wisenet, You acknowledge and accept that You will be charged in accordance with Wisenet’s consulting rate as set out in the Specifications for time and expenses expended in addressing that issue.

5.2 Exclusions

5.2.1 You acknowledge and accept that Wisenet will not provide technical support services in respect of:

a) Third party products and/or services: This includes, but is not limited to email, word processors, operating systems, integrated applications (applications which may integrate with other Wisenet products or services but are not supplied or hosted by Wisenet), internet products or validation products;

b) Acts by third parties: This includes, but is not limited to, the following:
 
i) Rectification of defects or errors resulting from any modification of the Service by any person other than Wisenet Personnel;
ii) Rectification of defects or errors resulting from use of the Service in combination with equipment other than the designated computer equipment;
iii) Rectification of operating errors;
iv) Rectification of a fault of computer equipment;
v) Any modification of the Service which represents a departure from the descriptions contained in the Specifications; and
 
c) Data Import/Export: Technical support for importing or exporting Data to and from products and services other than Wisenet’s products and services.

5.2.2 Where integration services are supplied by Wisenet to any third party application, Wisenet will provide technical support services for the integration component only and not the third party application itself.

5.2.3 Where an application or service has been provided by Wisenet free of charge, Wisenet supplies the product or service without warranty and reserves the right to change or withdraw the offering at its sole discretion.

5.3 Access to Support

You acknowledge and accept that:

a) In order to have access to the Support Services, You must have telephone, email and internet access;

b) The Support Services are only available to Users who have been trained in how to use the Wisenet product or service by Wisenet Personnel;

c) Wisenet reserves the right at its absolute discretion to limit or terminate Support Services to customers who use the Service in an irregular, excessive, abusive or fraudulent manner.

 

6. Payment Terms


6.1 Fees, Invoices and payment

6.1.1 Unless expressly stated otherwise in writing:

a) The fees payable on the Service are set out in the Specifications;

b) Payment terms are set out in the invoice issued to You by Wisenet;

c) The number of Subscriptions purchased cannot be decreased during the Term;

d) Subscription fees are based on yearly periods that begin on the Commencement Date and each yearly anniversary thereof. Any Subscriptions added during the Term will be charged on a pro-rata basis for the period remaining in the Term.

6.1.2 You acknowledge and agree that Wisenet may vary the fees payable on the Service from time to time by providing one (1) month notice of such variation.

6.1.3 If Wisenet has omitted any charges in an invoice or if there are any errors in calculation that appear on a Wisenet invoice, Wisenet reserves the right to include those charges on a later invoice.

6.1.4 You acknowledge and accept that prior to providing the Service, Wisenet relied on Your disclosure to Wisenet in respect of all of Your requirements. Wisenet reserves the right to charge You for any further services required by You as a result of non disclosure or incorrect disclosure to Wisenet of Your requirements.

6.1.5 You are liable for all third party costs arising from or in connection with the provision of the Service and associated products and services, including but not limited to, shipping, packaging and travel costs.

6.1.6 If You dispute any amount charged by Wisenet, You must notify Wisenet in writing of that disputed amount within 30 days of the invoice date and must settle the undisputed portion of that invoice. If You do not notify Wisenet of any disputed amount within 30 days of the invoice, You are deemed to have accepted the invoice as accurate and are liable to pay it in full pursuant to the applicable payment terms.

6.2 Consequences of non-payment

6.2.1 If You fail to make payment for any product or service provided to You by Wisenet by the due date as specified by Wisenet on the invoice issued to You in accordance with clause 6.1, Wisenet reserves the right to:

a) Charge You interest on any outstanding amounts at the rate of 15% per annum, calculated monthly;

b) Charge You all costs and expenses incurred in recovering any outstanding amounts owed to Wisenet;

c) Engage the services of a debt collection organisation, legal practitioners or other entities to assist Wisenet in recovering that debt and add the debt recovery costs to the amount of any outstanding debt, including, but not limited to, costs incurred prior to any legal action, collection agency costs, Court costs, legal costs and search costs;

d) Suspend the Service provided to You until such amounts are paid in full and charge a reinstatement fee of 20% of the amount owing to Wisenet to reactivate the Service following payment by You; and/or

e) Terminate the Agreement with You.

6.2.2 Wisenet will not be responsible for any loss or damage caused by the termination of Your
Service under clause 6.2.

 

7. Wisenet Responsibilities


7.1 Wisenet’s Obligations

7.1.1 From the Commencement Date, Wisenet will:

a) provide the Service in accordance with this Agreement;

b) install and configure the Service pursuant to the Specifications;

c) provide training in accordance with clause 2.2 above; and

d) provide Support Services for the Service pursuant to the Specifications.

7.1.2 In addition to the obligations under clause 7.1.1 above, Wisenet shall:

a) use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, in accordance with clause 4.4 of the Agreement;

b) provide the Service only in accordance with applicable laws and government regulations;
and

c) use all reasonable endeavours to ensure that its Personnel provide a secure environment for the provision of the Service and the protection of the Data.

 

8. Customer Responsibilities


8.1 Customer Obligations regarding proper use of the Service

You agree that in using the Service, You must:

8.1.1 Comply with all reasonable directions with respect to the use of the Service, which are issued by Wisenet from time to time at its absolute discretion.

8.1.2 Comply with all statutory obligations that are imposed upon You in respect of the collection and use of the Data.

8.1.3 Not use the Service to engage in or permit disruptive activities, including but not limited to, circulating any unsolicited publicity or advertising material, propagation of computer worms and viruses, gain unauthorised access to any other computer system, sending harassing, obscene, offensive or threatening electronic mail, forging electronic mail and placing, transmitting or storing any defamatory or pornographic material on the internet.

8.1.4 Not use the Service to knowingly engage in, permit or be involved personally in:

a) Using unsolicited commercial email as a means of advertising on the internet; or

b) Being the source address involved in the transmission of SPAM, chain letters or mail bombs.

8.1.5 Not knowingly access or permit any other party to access the Service for or in connection with any purpose or activity that is illegal or fraudulent in nature, including but not limited to, using the Service to aid the commission of a crime or infringe upon the rights of a third party.

8.2 Customer’s Rights and Obligations

8.2.1 Subject to this Agreement, You will:

a) pay Wisenet the fees as and when they fall due pursuant to the payment terms specified by Wisenet in the Specifications;

b) be solely responsible for the accuracy, quality, integrity and legality of the Data and of the means by which You acquired the Data;

c) be solely responsible to have the Data presented to Wisenet in a format which is compatible with the Service for the purpose of data import (where applicable);

d) use commercially reasonable efforts to prevent unauthorised access to or use of the Service, and notify Wisenet promptly of any such unauthorised access or use;

e) use the Service only in accordance with Wisenet’s directions and applicable laws and government regulations; and

f) ensure that all Log-In information required to access the Service, whether in use or not, is kept secure and confidential and to immediately notify Wisenet of any unauthorised use of that information or any other breach of security.

8.2.2 Subject to this Agreement, You shall not:

a) knowingly or negligently make the Service available to anyone other than persons You have authorised to access the Service;

b) sell, resell, rent or lease the Service;

c) impose any further restrictions on the exercise of the rights granted or affirmed to the User, including but not limited to, imposing a licence fee, royalty, or other charge for exercise of rights granted to the User, initiating litigation alleging that any Intellectual Property Rights are infringed by making, using, selling, offering for sale, or importing the Service or any portion of it;

d) use the Service to store or transmit infringing, libellous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights;

e) use the Service to store or transmit malicious code;

f) interfere with or disrupt the integrity or performance of the Service or third party Data contained therein; or

g) attempt to gain unauthorised access to related systems or networks of the Service.

8.3 Customer’s Obligations regarding Users

Subject to this Agreement, You will:

a) impose the necessary restrictions and obligations on the Users to ensure Users uphold the terms of this Agreement;

b) undertake all reasonable endeavours to ensure that the Users do not breach any of the terms of the Agreement;

c) undertake that all restrictions and obligations imposed on the Users will survive termination or expiration of this Agreement; and

d) indemnify Wisenet against any breach of the terms of this Agreement that occurs as a result
of a User’s use of the Service.

 

9. Proprietary Rights/Intellectual Property


9.1 Ownership of Wisenet Data

9.1.1 Wisenet is the sole proprietor of and retains all Intellectual Property Rights (including but not limited to copyright) embodied in or connected to the Service provided to You and any Users pursuant to this Agreement (including but not limited to any images, photographs, animations, video, audio, music, text, objects, “applets” incorporated into the Service, and any related documents or software, whether in their original form or otherwise).

9.1.2 Except as expressly permitted by applicable law or pursuant to this Agreement, You must not broadcast, publish or republish, upload to a third party, transmit, post, show or play in public, distribute or otherwise reproduce in any format, adapt or change, alter, reverse engineer, modify, translate, decompile, disassemble or create derivative works of the intellectual property of Wisenet, including the Service, without Wisenet’s prior written consent.

9.1.3 Nothing in this Agreement affects the ownership of Moral Rights in the Service.

9.1.4 You acknowledge and agree that this clause survives following the termination of this Agreement.

9.2 Ownership of Customer Data

You acknowledge and agree that:

9.2.1 You have obtained all relevant Intellectual Property Rights, clearances and/or other consents and authorisations over any information such as, but not limited to images, written text, video, software or other content (“Content”) which You post, display, transmit, provide or otherwise make available to Wisenet; and

9.2.2 The Content is Your sole responsibility and Wisenet has no ownership, control or responsibility to You or to any third party for any Content which may infringe any Intellectual Property Rights of a third party.

9.3 Restrictions

9.3.1 Wisenet’s intellectual property is used by You and Users with Wisenet’s consent pursuant to this Agreement. Upon termination of this Agreement, unless You have Wisenet’s written consent, You must immediately cease using Wisenet’s Intellectual Property.

9.3.2 You agree not do any act or thing in relation to Data which would cause Wisenet to infringe any party’s copyright or Intellectual Property Rights. You indemnify Wisenet against any Claim made or brought against it by a third party alleging that the Data, or Your use of the Service infringes or misappropriates the Intellectual Property Rights of a third party or violates applicable law, and You agree to indemnify Wisenet for any damages awarded in connection with any such Claim, provided that Wisenet promptly gives You written notice of the Claim and gives You sole control of the defence of the Claim and provides to You all reasonable assistance.

9.3.3 Wisenet indemnifies You from any Claims brought against You by third parties alleging use of the Service as permitted hereunder infringes the Intellectual Property Rights of a third party provided that You promptly give Wisenet written notice of the Claim and give Wisenet sole control of the defence and settlement of the Claim and You provide Wisenet all reasonable assistance.

9.4 Suggestions

You acknowledge and accept that Wisenet shall have a royalty-free, worldwide, transferable, sublicenseable, irrevocable, perpetual licence to use or incorporate into the Service any suggestions, enhancement requests, recommendations or other feedback provided by You or Users of the Service, relating to the operation of the Service.

 

10. Confidentiality


10.1 Protection of Confidential Information

10.1.1 Neither party may, without the prior written consent of the other, disclose the other party's Confidential Information unless it is compelled to do so by law.

10.1.2 Each party will take all reasonable steps to ensure that its Personnel do not make public or disclose the other party's Confidential Information.

10.1.3 Notwithstanding any other provision of this clause, a party may disclose the terms of this Agreement (other than Confidential Information of a technical nature) to its related companies, solicitors, auditors, insurers and accountants.

10.1.4 You acknowledge and agree that this clause survives following the termination of this
Agreement.

 

11. Privacy


11.1 Protection of Privacy

11.1.1 Wisenet:
 
i) Will not use or disclose any personal information for a purpose other than discharging its obligations under this Agreement;
ii) Agrees to comply at all times with the National Privacy Principles contained in Schedule 3 to the Privacy Act 1988 (Cth) (or an applicable privacy code approved by the Federal Privacy Commissioner pursuant to that Act) in the same way and to the same extent as the Customer would have been required to comply had it been directly responsible for performing the act or practice concerned; and
iii) Will take all necessary steps to protect personal information in its possession against misuse or loss and it will return all such information to the Customer (or if requested by You, destroy or de-identify such information) upon termination or expiry of this Agreement. This clause will survive the termination or expiry of this Agreement.
 
11.1.2 For the purpose of this clause, "personal information" means information or an opinion about an individual as defined in section 6 of the Privacy Act 1988 (Cth) (as amended from time to time) which is collected, used, disclosed, stored or handled by the supplier for the purposes of this Agreement.

 

12. Termination, Breach, Default


12.1 Termination by You

12.1.1 If You are purporting to terminate this Agreement as a result of a breach of the Agreement by Wisenet, You agree that Your exclusive remedy is described at 15.1.

12.1.2 You may terminate this Agreement at any time by giving Wisenet at least sixty (60) days written notice. You acknowledge that on termination of this Agreement, You forfeit any Claim to any refund for any amounts for which You have been charged, regardless of whether such amounts have been paid.

12.1.3 You further acknowledge and agree that You are liable to pay any charges associated with the remaining Term or Renewed Term.

12.1.4 If You terminate the Agreement without complying with Your obligations under clause 12, Wisenet may suspend or terminate Your access to the Service immediately.

12.2 Termination by Wisenet

12.2.1 Wisenet may terminate this Agreement at any time by giving You at least thirty (30) days written notice. If Wisenet terminates this Agreement in this way and You are not in breach of this Agreement, any charges paid by You will be refunded on a pro-rata basis of the amount paid by You for the time in which You will not be provided with the Service.

12.2.2 Notwithstanding 12.2.1, Wisenet shall use its best endeavours to provide continuing availability to the Service for the duration of this Agreement, but You expressly acknowledge and accept that Wisenet may, at its absolute discretion, immediately discontinue the Service with no notice to You if Wisenet’s ability to provide the Service is restricted or altered in such a way that Wisenet considers, in its absolute discretion, that it is not commercially viable, impractical or impossible, to continue to provide the Service.

12.2.3 Wisenet may terminate this Agreement immediately if:

a) You do not pay outstanding charges by the due date as specified in the invoice to You issued by Wisenet;

b) You are in breach of any of the express or implied terms of this Agreement and, where the breach is capable of being remedied, You have failed to remedy the breach within 7 days after notice by Wisenet;

c) In Wisenet’s view, it appears that You have undergone or are likely to undergo an Event of Insolvency;

d) If Wisenet reasonably suspects fraud or misuse of the Service by You; or

e) Any Claim is made that infringes the rights of a third party or exposes Wisenet to liability to any third party, or prosecution for an offence or to a statutory penalty.

12.3 Automatic Termination

You acknowledge and accept that this Agreement will terminate automatically, without the requirement for Wisenet to take any action whatsoever, if either party undergoes an Event of Insolvency.

12.4 Consequences of Termination

a) Upon termination or expiry of this Agreement, You must immediately cease access to the
Service.

b) Once all outstanding charges plus any applicable interest and expenses are paid in full, Wisenet will supply You with the Data in electronic format in a specification designed by Wisenet.

c) Termination or expiry of this Agreement will not affect the operation of any accrued rights or liabilities of either party, nor any provision of this Agreement which is expressly or by implication intended to continue in force after such termination.

 

13. Warranties & Disclaimers


13.1 Wisenet’s Warranties

13.1.1 Wisenet warrants that the Service shall perform substantially in accordance with the Specifications.

13.1.2 For any breach of the warranty at clause 13.1.1 above, Your exclusive remedy is that described at 15.1.

13.2 Disclaimer

Except as expressly provided in this Agreement, neither party makes any warranties of any kind, whether express, implied, statutory or otherwise, and each party specifically disclaims all implied warranties, including any warranties of merchantability or fitness for a particular purpose, to the maximum extent permitted by law.

 

14. Limitation of Liability and Indemnity


14.1 Limitation of Liability

You acknowledge and accept that:
14.1.1 Subject to the Competition and Consumer Act 2010 (Cth) or other applicable legislation, Wisenet’s total liability for any loss, damage or reliance shall be limited to:

a) In the case of goods, either replacement of goods, repair of goods, or a refund of the price paid for the goods (as determined by Wisenet); or

b) In the case of services, either supply of the services again or a refund of the price paid for the services (as determined by Wisenet).

14.1.2 Wisenet is not liable or in default, delay or failure in performance under this Agreement for any interruption resulting directly or indirectly from acts of God, civil or military authority, acts of public enemy, wars, accidents, fires, explosions, earthquakes, floods, strikes, labour disputes, Government action, shortage of suitable parts or other cause beyond the reasonable control of Wisenet.

14.1.3 All warranties, conditions and representations, whether express or implied (other than express warranties stated by Wisenet in writing), are excluded except where Wisenet is by law unable to exclude or limit liability. To the fullest extent permitted by law, Wisenet is not liable to You for loss of profit or other economic loss, indirect, special, consequential, general or similar damages arising under any order, or for negligence by Wisenet, or for any claim made against You by any other party even if Wisenet has been advised of the possibility of such claim.

14.1.4 You expressly acknowledge and agree that delays in the provision of technical support may occur for various reasons, including but not limited to, volume and operational reasons. You agree to hold Wisenet harmless against any such delays.

14.1.5 You expressly acknowledge and agree that Wisenet, it’s Personnel, affiliates, contributors, third party content providers, Agents and licensors are not liable to You for any direct, indirect, incidental, special consequential or exemplary damages incurred by You through Your use of the Service including but not limited to loss of Data and breach of Data security.

14.2 Indemnity

You will indemnify Wisenet in respect of any Claim, action, damage, loss, liability, cost, charge, expense, outgoing or payment suffered or incurred by Wisenet (including, but not limited to, economic loss and all legal costs and disbursements on a full indemnity basis) caused by You and/or any wilful, illegal or negligent act or omission by You.

14.3 Non essential service

14.3.1 The parties acknowledge and agree that performance of Wisenet’s obligations under this Agreement does not constitute an essential service for the purposes of the law relating to Insolvency Provision.

14.3.2 Notwithstanding clause 14.3.1 above, if Wisenet is held to be providing an essential service in a relevant sense and Wisenet is required by any person or Court of competent jurisdiction to continue to abide by its obligations under this Agreement despite a breach of this Agreement by You, then You acknowledge that the You will be charged at Wisenet’s ordinary rates immediately upon notification by Wisenet to You to that effect.

 

15. Dispute Resolution & Remedies


15.1 Dispute Resolution Process

If a dispute arises out of or relates to this Agreement, except where urgent interlocutory relief is sought, neither party may commence legal proceedings unless:

15.1.1 The party claiming a dispute has given written notice of the dispute to the other; and

15.1.2 Both parties endeavour, in good faith, to resolve the dispute expeditiously by any means upon which they mutually agree.

15.2 If Dispute Unresolved

If the dispute remains unresolved within 30 days after notice has been given under 15.1, the parties agree that a mediator will be appointed by the President of the Law Institute of Victoria or his/her nominee and the parties will bear the costs associated with the mediation equally. If the dispute is not resolved via mediation, either party may institute legal proceedings concerning the subject matter of the dispute.

15.3 Legal Representation

During any mediation or other legal proceedings, both parties may be represented by a duly qualified legal practitioner.

 

16. General


16.1 Execution

16.1.1 Both parties warrant to one another that as at the date of signing this Agreement (or any other document including Proposals/Quotations), the signatories have the full power and authority to execute this Agreement on behalf of the respective party.

16.1.2 If a party consists of more than one person:
 
i) An obligation of those parties is a joint obligation of all of them and a several obligation of each of them;
ii) A right given to those parties is a right given jointly and severally to each of them and if exercised by one of them, is deemed to be exercised jointly; and
iii) A representation, warranty or undertaking made by those parties is made by each of them.

16.2 Guarantee

You acknowledge and agree that if You are a company, If requested You must deliver to Wisenet:

a) a Guarantee completed in full and executed by all of the directors of the Customer company in the form of the Guarantee and Indemnity attached as Schedule 1 to this Agreement and to the satisfaction of Wisenet or its agent; and

b) a company search of the Customer company that is not more than 14 days old.

16.3 Counterparts

16.3.1 The parties may execute this Agreement in two or more counterparts.

16.3.2 The parties deem that each counterpart is an original.

16.3.3 All counterparts together constitute one instrument.

16.3.4 A faxed copy will be treated as a counterpart.

16.4 Notices

Each communication (including each notice, consent, approval, request and demand) under or in connection with this Agreement:

16.4.1 must be in writing and adequately addressed (or as otherwise notified by a party to the other party from time to time);

16.4.2 must be signed by the party making it or (on that party's behalf) by the solicitor for, or any attorney, director, secretary or authorised agent of, that party;

16.4.3 must be delivered by hand or posted by prepaid post to the address, or sent by fax to the number, or scanned and e-mailed, of the addressee;

16.4.4 is taken to be received by the addressee:

a) in the case of prepaid post sent to an address in the same country, on the third day after the date of posting;

b) in the case of prepaid post sent to an address in another country, on the fifth day after the date of posting by airmail;

c) in the case of facsimile transmission, at the time in the place to which it is sent equivalent to the time shown on the transmission confirmation report produced by the fax machine from which it was sent; and

d) in the case of e-mail, at the time in the place to which it was received equivalent to the time shown on the received e-mail item produced by the e-mail application from which was received; and

e) in the case of delivery by hand, on delivery; and

f) if taken to be received under clause 16.3.4 on a day that is not a Business Day during
Business Hours, it is taken to be received on the next Business Day.

16.5 Waiver

16.5.1 A party’s failure or delay to exercise a power or right does not operate as a waiver of that power or right.

16.5.2 The exercise of a power or right does not preclude its future exercise or the exercise of any other power or right.

16.5.3 The variation or waiver of a clause or clauses in this Agreement or a party’s consent to a departure from a clause by another party will be ineffective unless in writing and executed by all relevant parties.

16.5.4 A waiver of a breach or default of any clause in this Agreement shall not be construed as a waiver of any succeeding breach of the same or any other clause, nor shall delay or omission to exercise or avail oneself of any right from the power or privilege available under in this Agreement operate as a waiver to any breach or default of this Agreement.

16.6 Relationship of Parties

Nothing in this Agreement is to be interpreted as constituting either party an agent, partner or employee of the other and neither party may pledge the credit of the other, nor represent that it is the other party or an agent, partner or employee of the other party, or it has any power or authority to incur any obligation of any nature on behalf of the other party.

16.7 Assignment

16.7.1 The Customer shall not, without the prior written consent of the Supplier, assign, transfer, charge, sub-contract or deal in any other manner with all or any of its rights or obligations under this agreement.

16.7.2 Wisenet may at any time assign, transfer, charge, sub-contract or deal in any other manner with all or any of its rights or obligations under this agreement.

16.8 No exclusivity

The parties acknowledge that this is a non-exclusive arrangement. Therefore, Wisenet is permitted to provide the same or similar Service or related products or services to any other person.

16.9 Whole agreement

This Agreement supersedes all prior agreements, arrangements and undertakings between the parties and constitutes the entire agreement between the parties relating to subject matter. No addition to or modification of any provision of this Agreement shall be binding upon the parties unless made by written instrument signed by a duly authorised representative of the party.

16.10 Variation

Wisenet reserves the right to unilaterally vary this Agreement from time to time in its absolute discretion by providing reasonable written notice to You of the variation. You acknowledge and agree that publication of any changes made by Wisenet to this Agreement on Wisenet’s website will constitute reasonable notice to You of those changes.

16.11 Further Assurance

Each party will promptly do all such things and execute any documents required by law or reasonably required by the other party to give effect to the terms and intentions of this Agreement and to perfect, protect and preserve the rights of the other party to this Agreement.

16.12 Force Majeure

If a party is prevented from or delayed in performing an obligation by Force Majeure, and promptly acts to mitigate or remove the Force Majeure and its effect, then the obligation is suspended during, but for no longer than, the period the Force Majeure continues and any further period that is reasonable in the circumstances. In this clause "Force Majeure" means an event beyond the reasonable control of the affected party, which occurs without the fault or negligence of the affected party.

16.13 Severability

If any clause or part thereof in this Agreement is held to be unlawful, invalid, unenforceable or in conflict with any rule of law, statute, ordinance or regulation, it is to be read down to the extent required so its validity and enforceability and the validity and enforceability of the remaining provisions are not affected.

16.14 Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the law of Victoria and the parties hereby voluntarily submit to the exclusive jurisdiction of the Courts of Victoria.

Wisenet End User Terms of Use

1. Definitions and Interpretation


1.1 Definitions

In this Agreement, unless the contrary intention appears:

“Claim” means, in relation to a person, a claim, demand, remedy, suit, injury, damage, loss, cost, liability, action, proceeding, right of action, claim for compensation or reimbursement or liability incurred by or to be made or received by or against the person.

“Conditions of Use” means these End User Terms of Use.

“Confidential Information” means all information provided by the Wisenet or its Personnel to the User including but not limited to the following:-

a) designs concepts, product designs (whether registered or not), trade marks, copyright and rights in the nature of copyright, patents, patterns, drawings, models, computer generated designs or images and any rights under licence or agreement relating to any of the foregoing;

b) trade secrets of whatsoever kind or nature including but not limited to all know how and information as to processes, systems, strategies, configurations, components, results of tests or trials, data, performance capabilities, engineering, design or technical compatibilities, and/or research directly or indirectly in any way relating to the Service including ideas and concepts not reduced to material form;

c) know-how, techniques, technical information and technical drawings;

d) projections, business and marketing plans, including product and market information;

e) details of and information about the Owner’s intellectual property;

f) any information marked "confidential" or which the Owner informs the Recipient is confidential or a trade secret;

g) any combination of the aforementioned information in documents or otherwise; and

h) any intellectual property recognised by any Convention,but excluding:

i) information available to the public (other than through disclosure by the Recipient or by a person to whom the Recipient disclosed the Confidential Information); and

j) information which the Recipient can prove it lawfully possessed before obtaining it in connection with this Conditions of Use.

“Data” means but is not limited to publicly available data, programs, information and other works and materials accessible on the Internet Service, including without limitation, web sites and pages and web delivered software and other applications.

"Intellectual Property Rights" includes all present and future rights in relation to copyright, trade marks, designs, patents or other proprietary rights, or any rights to registration of such rights whether created before or after the date of this Agreement, and whether existing in Australia or otherwise.

“Log-In” means the identification and password provided to You or Users by Wisenet or any other identification that Wisenet provides to You in its absolute discretion at any time. Wisenet reserves the right to ask You to reset or alter its Log-in at its absolute discretion.

"Moral Rights" means the moral rights granted under the Copyright Act 1968 (Cth), and any similar rights existing under foreign laws.

"Personnel" of a person means that person's directors, officers, employees, agents, contractors, sub-contractors and their respective personnel.

“Training Organisation” means the Training Organisation to which the User is an affiliate or Personnel.

“Service” means the service provided by Wisenet to the User.

“User” means any person who is a user of the Service.

“You” and “Your” means the User.

1.2 Interpretation

1.2.1 In these Conditions of Use, unless the context otherwise requires:

a) Headings are for convenience only and do not affect the construction or interpretation of these Conditions of Use;

b) Words in the singular also include the plural and vice versa;

c) Words importing a gender include other genders;

d) A reference to a "person" includes an individual, the estate of an individual, a corporation, an authority, an association or a joint venture (whether incorporated or unincorporated), a partnership and a trust;

e) If a word or phrase is given a defined meaning, any other part of speech or grammatical form of that word or phrase has a corresponding meaning; and

f) "includes" in any form is not a word of limitation.

 

2. Grant and Use of Licence


2.1 In order to access the Service, You will be required to provide information (such as Your identification and Your contact details) as part of the registration process for the Service, or as part of your continued use of the Service (“Registration Information”). Once You have provided Wisenet with the Registration Information, Wisenet will provide You with Your Log-In information.

2.2 Wisenet will supply and You will use the Service on the terms of these Conditions of Use.

2.3 Wisenet grants the User a non-exclusive, non-transferable licence to use the Service subject to the terms and conditions of these Conditions of Use.

2.4 You acknowledge and agree that You cannot make a request or claim any compensation with respect to any issue arising from or in connection with the functionality of the Service.

2.5 You agree that in using the Service, You must comply with all reasonable directions with respect to the use of the Service, including the installation of updates, which are issued by Wisenet from time to time at its absolute discretion.

2.6 You acknowledge that Wisenet may terminate Your access to the Service at any time if it has reason to believe the terms of this Conditions of Use have been breached.

 

3. Restrictions on use


3.1 You must not:

3.1.1 Use any component, application or product to connect to the Service without Wisenet’s prior written consent, other than those supplied by Wisenet;

3.1.2 Rent, lease lend or otherwise resell, supply or publish the Service;

3.1.3 Except as expressly permitted by applicable law, broadcast, publish or republish, upload to a third party, transmit, post, show or play in public, distribute or otherwise reproduce in any format, adapt or change, alter, reverse engineer, modify, translate, decompile, disassemble or create derivative works of the Intellectual Property Rights in the Service;

3.1.4 Share the licence granted by these Conditions of Use;

3.1.5 Transfer any of Your rights pursuant to these Conditions of Use without Wisenet’s prior written consent; or

3.1.6 Use the Service to engage in or permit disruptive activities, including but not limited to, circulating any unsolicited publicity or advertising material, propagation of computer worms and viruses, use of the Service to gain unauthorised access to any other computer system, sending harassing, obscene, offensive or threatening electronic mail, forging electronic mail and placing, transmitting or storing any defamatory or pornographic material on the internet.

3.1.7 Use the Service to knowingly engage in, permit or be involved personally in:

a) Using unsolicited commercial email as a means of advertising on the internet;
b) Being the source address involved in the transmission of SPAM, chain letters, mail bombs; or

3.1.8 Knowingly access or permit any other party to access the Service for or in connection with any purpose or activity that is illegal or fraudulent in nature, including but not limited to, using the Service to aid the commission of a crime, the transmission of SPAM, chain letters and mail bombs or infringe upon the rights of a third party.

4. User’s Responsibilities


4.1 User’s Rights and Obligations

Subject to this Conditions of Use, You will:

4.1.1 Be solely responsible for the accuracy, quality, integrity and legality of your Data and of the means by which You acquired Your Data;

4.1.2 Be solely responsible to have Your Data in a format which is compatible with the Service;

4.1.3 Use all reasonable efforts to prevent unauthorised access to or use of the Service, and notify Wisenet promptly of any such unauthorised access or use;

4.1.4 Use the Service only in accordance with these Conditions of Use, Wisenet’s directions, the Training Organisation’s directions, and applicable laws and government regulations;

4.1.5 Ensure that Your Log-In required to access the Service, whether in use or not, are kept secure and confidential and immediately notify Wisenet of any unauthorised use of that information or any other breach of security;

4.1.6 Not make the Service available to anyone other than authorised Users;

4.1.7 Not sell, resell, rent or lease the Service;

4.1.8 Not use the Service to store or transmit infringing, libellous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights;

4.1.9 Not use the Service to store or transmit malicious code;

4.1.10 Not interfere with or disrupt the integrity or performance of the Service or third party Data contained therein; or

4.1.11 Not attempt to gain unauthorised access to the Service or related systems or networks.

 

5. Proprietary rights / Intellectual Property


5.1 Ownership of Wisenet data

5.1.1 Wisenet is the sole proprietor of and retains all Intellectual Property Rights (including but not limited to copyright) embodied in or connected to the Service, including but not limited to, any images, graphic, website or program design, photographs, animations, video, audio, music, text, objects and ‘applets’ incorporated into the Service products, any related documents or software, whether in their original form or otherwise.

5.1.2 Except as expressly permitted by applicable law, You must not broadcast, publish or republish, up-load to a third party, transmit, post, show or play in public, distribute or otherwise reproduce in any format, adapt or change, alter, reverse engineer, modify, translate, decompile, disassemble or create derivative works of the Intellectual Property Rights and the Service without Wisenet’s prior written consent.

5.1.3 Nothing in this Agreement affects the ownership of Moral Rights in the Service.

5.1.4 You acknowledge and agree that this clause has permanent effect.

5.2 Ownership of data

You acknowledge and agree that:

5.2.1 You have obtained all relevant Intellectual Property Rights, clearances and/or other consents and authorisations over any information such as, but not limited to images, written text, video, software or other content (“Content”) which You post, display, transmit, provide or otherwise make available to Wisenet; and

5.2.2 The Content is Your sole responsibility and Wisenet has no ownership, control or responsibility to You or to any third party for any Content which may infringe any Intellectual Property Rights of a third party.

5.3 Restrictions

5.3.1 Wisenet’s Intellectual Property Rights are used by You with Wisenet’s consent pursuant to these Conditions of Use.

5.3.2 Wisenet reserves the right to terminate Your right to use Wisenet’s Intellectual Property Rights at any time.5.3.3 Immediately upon Wisenet notifying You of the termination of Your entitlement to use the Service, You must cease using the Service and Wisenet’s Intellectual Property Rights.

5.3.4 You agree that You shall not do any act or thing in relation to data which would cause Wisenet to infringe any party’s copyright or Intellectual Property Rights.

5.4 Suggestions

You acknowledge and accept that Wisenet shall have a royalty-free, worldwide, transferable, sublicenseable, irrevocable, perpetual licence to use or incorporate into the Service any suggestions, enhancement requests, recommendations or other feedback provided by You relating to the operation of the Service.

 

6. Confidentiality


6.1 Protection of Confidential Information

6.1.1 Neither party may, without the prior written consent of the other, disclose the other party's Confidential Information unless it is compelled to do so by law.

6.1.2 Each party will take all reasonable steps to ensure that its Personnel engaged for the purposes of this agreement, do not make public or disclose the other party's Confidential Information.

6.1.3 Notwithstanding any other provision of this clause, a party may disclose the terms of these Conditions of Use (other than confidential information of a technical nature) to its related companies, solicitors, auditors, insurers and accountants.

6.1.4 This clause will survive the termination of this Agreement.

 

7. Privacy


7.1 Protection of Privacy

7.1.1 Wisenet:

a) Will not use or disclose any personal information for a purpose other than discharging its obligations under these Conditions of Use;

b) Agrees to comply at all times with the National Privacy Principles contained in Schedule 3 to the Privacy Act 1988 (Cth) (or an applicable privacy code approved by the Federal Privacy Commissioner pursuant to that Act) in the same way and to the same extent that You would have been required to comply had You been directly responsible for performing the act or practice concerned; and

c) Will take all necessary steps to protect personal information in its possession against misuse or loss.

7.1.2 For the purpose of this clause, "personal information" means information or an opinion about an individual as defined in s 6 of the Privacy Act 1988 (Cth) which is collected, used, disclosed, stored or handled by the supplier for the purposes of this Agreement.

7.1.3 You acknowledge and understand that Wisenet may, from time to time, be required to contact You using Your personal information in relation to Your access to the Service or other Wisenet products to which You have subscribed.

7.1.4 You acknowledge that Wisenet may, from time to time, send You marketing material. You acknowledge and agree to your personal information being used to contact You for the purpose of marketing activities of Wisenet or its affiliates.

7.1.5 Wisenet warrants that You may be removed from marketing communications at any time upon Your request to Wisenet.

 

8. Termination, breach, default


8.1 Right to Terminate

Without prejudice to any other rights, Wisenet may terminate Your use of the Service if You fail to comply with these Conditions of Use.

8.2 Consequences of Termination

8.2.1 In the event of termination, You must stop accessing the Service and all of its component parts.

8.2.2 Termination or expiry of this Agreement will not affect the operation of any accrued rights or liabilities of either party, nor any provision of this Agreement which is expressly or by implication intended to continue in force after such termination.

 

9. Warranties & Disclaimers


9.1 You acknowledge and understand that Wisenet makes no warranty to You as to the functionality of the Service.

9.2 You agree and acknowledge that You cannot make any requisition or claim any compensation for any defect or unavailability of the Service.

 

10. Limitation of Liability and Indemnity


10.1 Limitation of Liability

You acknowledge and accept that:

10.1.1 Wisenet is not liable for any loss or damage as a result of a delay or failure in performance under these Conditions of Use regardless of the cause.

10.1.2 All warranties, conditions and representations, whether express or implied (other than express warranties stated by Wisenet in writing), are excluded except where Wisenet is by law unable to exclude or limit liability. To the fullest extent permitted by law, Wisenet is not liable to You for loss of profit or other economic loss, indirect, special, consequential, general or similar damages arising under any order, or for negligence by Wisenet, or for any Claim made against You by any other party even if Wisenet has been advised of the possibility of such Claim.

10.1.3 You expressly acknowledge and agree that Wisenet, its Personnel, affiliates, contributors, third party content providers and licensors are not be liable to You for any direct, indirect, incidental, special consequential or exemplary damages incurred by You, however caused and under any theory of liability.

10.1.4 You will indemnify Wisenet in respect of any Claim, action, damage, loss, liability, cost, charge, expense, outgoing or payment suffered or incurred by Wisenet (including, but not limited to, economic loss and all legal costs and disbursements on a full indemnity basis) caused by You and/or any wilful, illegal or negligent act or omission by You.

10.1.5 You acknowledge that Wisenet is not responsible for assisting You with support services in respect of Your use of the Service.

 

11. General


11.1 Assignment

Neither party shall assign, whether in whole or part, the benefit of this Agreement or any rights or obligations under this

Agreement, without the prior written consent of the other party.

11.2 Whole agreement

These Conditions of Use must be read in conjunction with the Wisenet Terms of Use Agreement, and when combined, those documents supersede all prior agreements, arrangements and undertakings between the parties and constitute the entire agreement between the parties relating to subject matter.

11.3 Variation

Wisenet reserves the right unilaterally vary this Agreement from time to time in its absolute discretion by providing reasonable written notice to You of the variation. You acknowledge and agree that publication of any changes made by Wisenet to this Agreement on Wisenet’s website will constitute reasonable notice to You of those changes.

11.4 Severability

If any clause or part thereof in this Agreement is held to be unlawful, invalid, unenforceable or in conflict with any rule of law, statute, ordinance or regulation, it is to be read down to the extent required so its validity and enforceability and the validity and enforceability of the remaining provisions are not affected.

11.5 Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the law of Victoria and the parties submit to the jurisdiction of the courts of Victoria.

Wisenet Security Statement

Wisenet uses the Amazon Cloud Computing Platform ‘Amazon Web Services’ (AWS) to provide customers with secure, reliable and high-performance service. The AWS infrastructure includes facilities, network, and hardware as well as some operational software that supports the provisioning and use of these resources. This infrastructure is designed and managed according to security best practice as well as a variety of security compliance standards.

 

Physical and Environmental Security


Wisenet data centres are housed in unmarked facilities. Physical access is strictly controlled both at the perimeter and at building ingress points by professional security staff using video surveillance, intrusion detection systems and other electronic means. Authorised staff must pass two-factor authentication a minimum of two times to access data centre floors.

 

Fire Detection and Suppression

Automatic fire detection and suppression equipment has been installed to reduce risk. The fire detection system uses smoke detection sensors in all data centre environments, mechanical and electrical infrastructure spaces, chiller rooms and generator equipment rooms. These areas are protected by either wet-pipe, double-interlocked pre-action, or gaseous sprinkler systems.

 

Power

The data centre electrical power systems are designed to be fully redundant and maintainable without impact to operations, 24 hours a day, seven days a week. Uninterruptible Power Supply (UPS) units provide back-up power in the event of an electrical failure for critical and essential loads in the facility. Data centres use generators to provide back-up power for the entire facility.

 

Climate and Temperature

Climate control is required to maintain a constant operating temperature for servers and other hardware, which prevents overheating and reduces the possibility of service outages. Data centres are conditioned to maintain atmospheric conditions at optimal levels. Personnel and systems monitor and control temperature and humidity at appropriate levels.

 

Network Security


Secure Network Architecture

Network devices, including firewall and other boundary devices, are in place to monitor and control communications at the external boundary of the network and at key internal boundaries within the network. These boundary devices employ rule sets, Access Control Lists (ACL), and configurations to restrict the flow of information to specific information system services.

High Availability

Wisenet has designed its systems to tolerate system or hardware failures with minimal customer impact. Wisenet Infrastructure is located at two data centres. Data Centres are physically separated and located in lower risk flood plains. In addition to discrete Uninterruptable Power Supply (UPS) and onsite backup generation facilities, they are each fed via different grids from independent utilities to further reduce single points of failure. Data Centres are all redundantly connected to multiple tier‐1 transit providers.

Network Monitoring and Protection

Wisenet uses a wide variety of automated monitoring systems to ensure a high level of service performance and availability. Wisenet monitoring tools are designed to detect unusual or unauthorized activities and conditions. These tools monitor server and network usage, port scanning activities, application usage. The tools have the ability to set custom performance metrics thresholds for unusual activity.

Systems within Wisenet are instrumented to monitor key operational metrics. Alarms are configured to automatically notify operations and management personnel when early warning thresholds are crossed on key operational metrics.

Wisenet maintains documents and processes to assist operations personnel in handling incidents or issues.

Transmission Protection

Each Wisenet application is accessed via HTTPS using Secure Sockets Layer (SSL), a cryptographic protocol that is designed to protect against eavesdropping, tampering, and message forgery.

Corporate Segregation

The Wisenet Production network is separated from the Wisenet Corporate network with a firewall. Access to Production systems is restricted to approved personnel only. Access and administration of logical security for Wisenet relies on user IDs, passwords and Kerberos to authenticate users to services, resources and devices as well as to authorize the appropriate level of access for the user. Wisenet Security has established a password policy with required configurations and expiration intervals.

During development all testing is performed on test servers and released to Production at the end of the development cycle.

Disaster Recovery

Wisenet has a data and infrastructure backup strategy that ensures that your data is adequately stored and replicated. This is across a minimum of two separate data centres at any one time and involves full nightly backups in conjunction with incremental backups. Backup retention is daily for 7 days and weekly for 8 weeks.

 

Security Threats


Wisenet maintains vigilant security of our network and systems to protect customer data.

If you believe you have found a security issue that is not resolved by the 10 Immutable Laws of Security, please send e-mail to us at info@wisenet.co and we will respond within 24 hours.

A security vulnerability is defined as a flaw in a product that makes it infeasible – even when using the product properly - to prevent an attacker from usurping privileges on the user's system, regulating its operation, compromising data on it, or assuming ungranted trust.

Please provide us with as much of the below information as possible. This information will help us to better understand the nature and scope of the possible issue.

  • Type of issue (buffer overflow, SQL injection,cross-site scripting, etc.)

  • Product and version that contains the bug

  • Service packs, security updates, or other updates for the product you have installed

  • Any special configuration required to reproduce the issue

  • Step-by-step instructions to reproduce the issue

  • Proof-of-concept or exploit code

  • Impact of the issue, including how an attacker could exploit the issue

When we receive your submission we will:

  • Conduct an evaluation of the possible impact

  • Investigate how to reproduce the issue

  • Rate the severity and the likelihood that it will be exploited

  • Determine whether to resolve the issue with an immediate update, or address the issue in a future release

  • Communicate to customers

If we determine that a security breach has compromised customer data, we will contact you directly in order to assist with reporting the breach to appropriate authorities. We will provide you with relevant log files and technical assistance to investigate such a breach.

Remote Assistance

User training and support is critical to the successful implementation of Wisenet. Wisenet employs 'Zoom' remote desktop sharing technology to establish screen sharing sessions with users. (https://www.zoom.us). With the end-user’s permission, this technology allows our support team to see and control the user’s desktop. Zoom operates over HTTPS with Secure Socket Layer (SSL) encryption
and AES 256-bits encryption.  Zoom requires only a small Java applet to be downloaded into the browser’s secure area. There is no requirement for VPN or any other firewall modifications. 

Ownership & Retention of Data

The data contained in Wisenet remains the property of the paid-up licensed subscriber at all times and a copy of the data is available on request.

On termination of the contract, a paid-up subscriber will receive their data in flat file csv format within 24 hours or next Business Day. Unless directed by the customer to remove all copies of data, backups of the data may remain in Wisenet archives as part of our standard retention policies.

Data Sovereignty

Wisenet contracts from Amazon Web Services to store customer data. The terms of our agreement can be found at: http://aws.amazon.com/agreement/

In order to offer high availability of the Service to customers, Wisenet operates in at least two Amazon Data Centre Regions, including Australia and Singapore.

All AWS data centres meet the following security standards, which are substantially similar the the Office of the Australian Information Commission APP Guidelines, the New Zealand Privacy Principles and the Singapore Personal Data Protection Act:

Wisenet API Terms of Service

1. Acceptance of Terms

This Wisenet API Terms of Service document (the “API TOS”) is an agreement you must accept in order to use the Wisenet API (as described below). This document describes both your rights and your obligations as part of using the Wisenet API. It is important that you read it carefully because you will be legally bound to these terms. Wisenet - A Division of Adapt IT (“Wisenet” “we” “us”) only provides the Wisenet API to you subject to this API TOS. By accepting this API TOS or by accessing or using the Wisenet API, you agree to be bound by this API TOS (including the Privacy Policy, Brand Guidelines, and general Terms of Service, which are incorporated here by reference).

If you are entering into this API TOS on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to this API TOS. In that case, the terms “you” or “your” shall also refer to such entity. If you do not have such authority, or if you do not agree with this API TOS, you may not use the Wisenet API. You acknowledge that this API TOS is a contract between you and Wisenet, even though it is electronic and is not physically signed by you and Wisenet, and it governs your use of the Wisenet API. 2. API Key Definitions

 

2.1 Application – Any software application, website, or product you create or service you offer using the Wisenet API (defined below).


2.2 API Documentation – The documentation, data and information that Wisenet provides regarding the use of the Wisenet API through the Developer Site.


2.3 Data – means any data and content uploaded, posted, transmitted or otherwise made available by users via the Services, including messages, files, comments, profile information and anything else entered or uploaded into the Service by a user of the Service.


2.4 Developer Site – Wisenet’s Developer site found at: https://api-docs.wisenet.co/


2.5 Wisenet API or “our API”
 – The publicly available Wisenet Application Programming Interface (“API”) as well as the related API Documentation.


2.6 Wisenet Brand – The Wisenet brand and brand assets, including names, logos, trade names and trademarks.


2.7 Wisenet Service(s) – Wisenet’s real-time communication, messaging, archiving and search services and related systems and technologies, as well as the website https://www.wisenet.co (the “Site”), and all software, applications, data, reports, text, images, and other content made available by or on behalf of Wisenet through any of the foregoing. The “Service” does not include Data or any software application or service that is provided by you or a third party (including Applications), whether or not Wisenet designates them as “official integrations”.

 

3. API License

 

As long as you follow this API TOS, Wisenet grants you a limited, non-exclusive, non-assignable, non-transferable license to use the APIs to develop, test, and support any software application, website, or product, and to integrate the Wisenet APIs with your Application. Your license is subject to the limitations set forth in Section 4.2 through 4.11 below, and you agree that violation of Section 4 will automatically terminate your license to use the Wisenet APIs.

 

4. API Restrictions & Non-Permitted Use of Wisenet Data

 

4.1 You are responsible for your own conduct, and the conduct of any third party accessing the Wisenet API (API) on your behalf, while using the API and for any consequences thereof. You will use the API only for purposes that are legal, proper and in accordance with this Agreement and any applicable policies or guidelines provided by Wisenet, as they may be amended from time to time. In addition to the other restrictions contained herein, you agree that when using the API, you will not do the following, attempt to do the following, or permit your end users or other third parties to do the following:

 

4.1.1 Disparage Wisenet or knowingly tarnish the name, reputation, image or goodwill of Wisenet in connection with your Application or use of the API;

4.1.2 Modify, obscure, circumvent, or disable any element of the API or its access control features;

4.1.3 Extract, provide or otherwise use data elements from the Wisenet Data to enhance the data files of third parties;

4.1.4 Use the API in a product or service that competes with products or services offered by Wisenet, including the Service;

4.1.5 Attempt to circumvent any security measures or technical limitations of the API or the Service;

4.1.6 Use the API in any manner or for any purpose that violates any law or regulation, any right of any person, including but not limited to the intellectual property rights or rights of privacy of such person, or to engage in activities that would violate any fiduciary relationship, any applicable local, state, federal, or international law, or any regulations having the force of law, or which otherwise may be harmful, in Wisenet’s sole discretion, to Wisenet, its providers, or Subscribers or end users of the Service;

4.1.7 Sell, lease, or sublicense the API or access thereto;

4.1.8 Distribute or allow access to the Wisenet APIs to anyone other than, if applicable, the company on whose behalf you entered into this API TOS. Anyone who wants to access our APIs must agree to be bound by this API TOS;

4.1.9 Use the API in a manner that detrimentally affects the stability of Wisenet’s servers or the behavior of other applications using the API;

4.1.10 Create or disclose metrics about, or perform any statistical analysis of, the API or the Service;

4.1.11 Use the API on behalf of any third party;

4.1.12 Make API calls exceeding a reasonable amount per day, as determined in Wisenet’s sole discretion and in accordance with this Agreement;
Crawl, screen scrape or data mine Wisenet Content or Wisenet Data;

4.1.13 Use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the Service or collect information about Subscribers or users of the Service for any unauthorised purpose;

4.1.14 Use the API to aggregate, consolidate or otherwise arrange, display or make available Wisenet Content or Wisenet Data in combination with any third party or any Wisenet competitors’ content or data, for any commercial purpose or in any manner that Wisenet determines could diminish the value or integrity of its business or brand;

4.1.14 Use the API in an Application containing any of the following content: adult content; pyramid schemes, chain letters or disruptive commercial messages or advertisements; infringing, or obscene content; content promoting or instructing about illegal activities or promoting physical harm or injury against any group or individual; content infringing any patent, trademark, copyright, trade secret or other proprietary right of any party; content defaming, abusing, harassing, stalking, threatening or violating any rights of privacy and/or publicity; content disparaging of Wisenet or its licensors, licensees, affiliates, or partners; or anything other inappropriate or unlawful content;

4.1.15 Use the Wisenet APIs in any Application that includes adult content, promotes gambling, involves the sale of tobacco or alcohol to persons under 21 years of age, or otherwise violates any applicable law or regulation;

4.1.16 Transmit any viruses, worms, defects, Trojan horses, or other disabling code, via the API or otherwise, to Service or the computers or networks used by Wisenet, users or Subscribers of the Service or any other third parties;

4.1.17 Access Wisenet Data without the authorisation of the Wisenet Subscriber or use Wisenet Data in any way beyond the purpose for which the Subscriber provided you access under the agreement between you and the Subscriber. For the avoidance of doubt, this restriction is in addition to any other restrictions you agreed to with any applicable Subscriber to the Service; or

4.1.18 Cache (in excess of 24 hours), collect, compile, store, transfer or utilise Wisenet Data or any other data derived from Wisenet, the Service or Wisenet's computer system(s) or database(s), including but not limited to cardholder data, customer addresses, passwords or any other identifying information about any end user;


4.2 Reliance on APIs


4.2.1 Wisenet is continually evolving, and we need the flexibility to occasionally make changes to our APIs, including backwards incompatible ones. We will provide notice of these changes via email communication or in-app alerts, but you should also periodically check our API Developer Resources Page (https://learn.wisenet.co/api-developer-resources/) for updates.

4.2.2 Parts of the Wisenet APIs may be undocumented, including certain methods, events, and properties. Given that these undocumented aspects of our API may change at any time, you should not rely on these behaviours.


4.3 Advertising


4.3.1
 You may place advertisements on and around your Application. However, you may not:
i. Place any advertisements within Wisenet Service channels, and your advertisements may not resemble or be reasonably likely to confuse users as being a Wisenet Service message;
ii. Use Data or any content from Wisenet in any advertisements or for purposes of targeting advertisements, in your Application or elsewhere; or
iii. Use contact information obtained from Wisenet (including email addresses) to contact Wisenet users outside of Wisenet without their express permission.

 

5. Use of Wisenet Brand or Marks

 

You must not use the Wisenet Brand in a way that suggests your service is endorsed by, sponsored by, or associated with Wisenet.

 

6. Storage of Data

 

6.1 Caching Data. Where Data is cached, you should refresh the cache at least every 24 hours.


6.2 Secure Storage Measures. All Data should be stored and served using strong encryption.


6.3 Delete at User Request. You must delete all Data you have collected from a Wisenet user upon request by that user, and when the Wisenet user deauthorizes your Application or closes his or her account with you. Similarly, when a team stops using your Application, you should delete all Data obtained from that team. The restrictions of this Section do not apply to Data that Wisenet users also provide directly to you and that is separately entered or uploaded to you by the user of your Application.


6.4 Deletion at Termination. If we terminate your use of the Wisenet APIs for any reason, then you must permanently delete all Data and any other information that you stored pursuant to your use of the Wisenet APIs, except when doing so would cause you to violate any law or obligation imposed by a governmental authority. This provision does not require a Wisenet user to delete Data stored in Wisenet if the Wisenet user is prohibited from accessing the Wisenet API.


6.5 No Other Storing. You may not copy or store any Data or capture or store any information expressed by the Data (such as hashed or transferred data), except to the extent permitted by this API TOS.

 

7. Your User Agreement and Privacy Policy

 

If you offer your Application for use by others outside your organisation, you must maintain a user agreement and privacy policy for your Application, which is prominently identified or located where users download or access your Application. Your privacy policy must meet applicable legal standards and accurately describe the collection, use, storage and sharing of data. You must promptly notify us of any breaches of your user agreement or privacy policy that impact or may impact Wisenet users. Your privacy policy must be at least as stringent and user-friendly as ours.

8. Security Measures

 

8.1 Protections. The network, operating system and software of your web servers, databases, and computer systems (collectively, “Your Systems”) must be properly configured to securely operate your Application and store Data. Your Application must use reasonable security measures to protect your users’ information. You must not architect or select Your Systems in a manner to avoid the foregoing obligation.

 

8.2 Reporting. You must promptly report any security deficiencies in, or intrusions to, your Systems to Wisenet in writing via email to info@wisenet.co or subsequent contact information posted on the Developer Site. This includes any unauthorised access, use, disclosure or destruction of Data. You will work with Wisenet to immediately correct any security deficiency, and will immediately disconnect any intrusions or intruder. In the event of any security deficiency or intrusion involving the Application, Wisenet APIs or Data, you will make no public statements regarding such deficiencies or intrusions (e.g., press, blogs, social media, bulletin boards, etc.) without prior written and express permission from Wisenet in each instance.

 

9. Ownership

 

As between you and us, we own all rights, title, and interest, including all intellectual property rights, in and to, the (1) Wisenet APIs, Documentation, and all elements and components thereof; (2) Data; (3) Wisenet Services; and (4) Brand Features (collectively, the “Wisenet Materials”). The only exception to this is Data that you as a Wisenet user have licensed to Wisenet under the Wisenet Terms of Use, which governs that Data. Except for the express licenses granted in this API TOS, Wisenet does not grant you any right, title, or interest in the Wisenet Materials. You agree to take such actions as Wisenet may reasonably request to perfect Wisenet’s rights to the Wisenet Materials.

 

10. Term and Termination

 

10.1 Duration of Terms. This API TOS will go into effect on the date upon which you agree to them, by accessing or using the Wisenet API, and will continue until terminated as set forth herein.


10.2 Your Right to Terminate. You may terminate this API TOS by discontinuing use of our APIs.


10.3 Suspension; Termination. We may change, suspend or discontinue the Wisenet API and suspend or terminate your use of the Wisenet API, the Wisenet Service, and/or Wisenet Brand at any time and for any reason, without notice. Without limiting the foregoing, we may limit your Application's access to the Wisenet API if it, in our sole discretion, may negatively affect our Service or our ability to provide our Service.


10.4 Effect of Termination. Upon termination of this API TOS:
i. All rights and licenses granted to you will terminate immediately;
ii. You will promptly destroy Documentation and any other Wisenet information in your possession or control that was received under this API TOS;
iii. Unless we agree otherwise in writing or as stated in this API TOS, you must permanently delete all Data and other information that you stored pursuant to your use of the Wisenet APIs. Wisenet may request that you certify in writing your compliance with this section; and
iv. Wisenet will make commercially reasonable efforts to remove all references and links to your Application from its Services (Wisenet has no other obligation to delete copies of, references to, or links to your Application).


10.5 The following sections of this API TOS shall survive any termination, Sections 4 (“Use of the APIs and Wisenet Data”), 5 (“Use of Wisenet Brand or Marks”), 6.3 (“Delete at User Request”), 6.4 (“Deletion at Termination”), 7 (“Your User Agreement and Privacy Policy”), 8 (“Security Measures”), 9 (“Ownership”), 10 (“Term and Termination”), 11 (“Other Important Terms”), 12 (“Disclaimer of Warranties; Limitation of Liability; Indemnity”), 13 (“Dispute Resolution”) and 14 (“General Legal Terms”).

 

11. Other Important Terms

 

11.1 Legal Representations. You represent and warrant to Wisenet that, excluding Wisenet Materials, you have the right to use, reproduce, transmit, copy, publicly display, publicly perform, and distribute your Application, and that use of your Application by Wisenet and its users will not violate the rights of any third party (e.g., copyright, patent, trademark, privacy, publicity or other proprietary right of any person or entity), or any applicable regulation or law, including the Digital Millennium Copyright Act, the laws of any country in which your Application is made available and any applicable export laws.


11.2 Modification of the API TOS. We may change, add to or delete this API TOS or any portion thereof from time to time in our sole discretion. If we make a material change to this API TOs, we will provide you with reasonable notice prior to the changes either by emailing the email address associated with your account or by posting a notice on the Developer Site. You acknowledge that these updates and modifications may adversely impact how you access, use, and communicate with the Wisenet API. If any change in unacceptable to you, then your only recourse is to cease all use of the Wisenet API. Your continued access or use of the Wisenet API will mean that you agree to the updates and modifications.


11.3 Other Applicable Agreements. You and your Application must also comply with the following, which are hereby incorporated by reference:

In the event of any conflict between the content in this document and the above documents, this document controls your use of the Wisenet APIs.

 

12. Disclaimer of Warranties; Limitation of Liability; Indemnity

 

12.1 NO WARRANTIES. THE WISENET API AND ALL RELATED COMPONENTS AND INFORMATION ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND WISENET EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT WISENET DOES NOT WARRANT THAT THE WISENET API WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR VIRUS-FREE, NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE WISENET API, AND NO INFORMATION, ADVICE OR SERVICES OBTAINED BY YOU FROM WISENET OR THROUGH THE DEVELOPER SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS API TOS.

12.2 LIMITATION ON LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL WISENET BE LIABLE TO YOU OR ANY THIRD PARTY FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES OR BUSINESS, LOST DATA, OR (B) FOR ANY AMOUNT IN THE AGGREGATE IN EXCESS OF THE FEES ACTUALLY PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO YOUR CLAIM OR, IF NO FEES APPLY, FIVE HUNDRED ($500) AUSTRALIAN DOLLARS, OR (C) ANY MATTER BEYOND OUR REASONABLE CONTROL. THE PROVISIONS OF THIS SECTION ALLOCATE THE RISKS UNDER THIS TOS BETWEEN THE PARTIES, AND THE PARTIES HAVE RELIED ON THESE LIMITATIONS IN DETERMINING WHETHER TO ENTER INTO THIS TOS. Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to you. IN THESE JURISDICTIONS, WISENET’S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

12.3 INDEMNITY. You agree to defend, hold harmless and indemnify Wisenet, and its subsidiaries, affiliates, officers, agents, employees, and suppliers, from and against any third party claim arising from or in any way related to your or your users’ use of the Application, Wisenet API or Data, use of Wisenet Brand, or violation of this API TOS, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees, of every kind and nature. In such a case, we will provide you with written notice of such claim, suit, or action.

 

13. Dispute Resolution

 

This API TOS and any claim, cause of action or dispute (“Claim”) arising out of or related to this Agreement shall be governed by the laws of the state of Victoria, Australia, regardless of your country of origin or where you access the Wisenet Service, and notwithstanding any conflicts of law principles and the United Nations Convention for the International Sale of Goods. You and Wisenet agree that all Claims arising out of or related to this Agreement must be resolved exclusively in the courts located in Melbourne Australia. You and Wisenet agree to submit to the personal jurisdiction of the courts located within Melbourne Australia or the State of Victoria, Australia, and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts for the purpose of litigating all such Claims. Notwithstanding the above, you agree that Wisenet shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

 

14. General Legal Terms

 

14.1 Severability. If any provision of this API TOS is found to be illegal, void, or unenforceable, the unenforceable provision will be modified so as to render it enforceable to the maximum extent possible in order to effect the intention of the provision; if a term cannot be so modified, it will be severed and the remaining provisions of this API TOS will not be affected in any way.


14.2 Language. Where Wisenet has provided you with a translation of the English language version of this API TOS or any document referenced in this API TOS, you agree that the translation is provided for your convenience only and that the English language versions of any such document, will control.


14.3 Notice and Service of Process. We may notify you via postings on the Developer Site or via the email address associated with your Application or Wisenet Service account. Wisenet accepts service of process by mail or courier at the physical address set forth in Section 16.9 below. Any notices that you provide without compliance with this section shall have no legal effect.


14.4 Entire Agreement. This API TOS and any documents incorporated into this API TOS by reference, constitute the entire agreement between you and Wisenet regarding the Wisenet APIs and supersedes all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of this API TOS.


14.5 No Informal Waivers, Agreements, or Representations. Our failure to act with respect to a breach of this API TOs by you or others does not waive our right to act with respect to that breach or subsequent similar or other breaches. No representations, statements, consents, waivers or other acts or omissions by any Wisenet affiliate shall be deemed legally binding on any Wisenet affiliate, unless documented in a physical writing hand signed by a duly appointed officer of Wisenet.


14.6 Injunctive Relief. In no event shall you seek or be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of the Developer Site or Wisenet Service or any Wisenet APIs, or other material used or displayed through the Wisenet Developer Site or Wisenet Service.


14.7 Assignment and Delegation. You may not assign or delegate any rights or obligations under this API TOS, including in connection with a change of control. Any purported assignment and delegation shall be ineffective. We may freely assign or delegate all rights and obligations under this API TOS Agreement, fully or partially without notice to you. We may also substitute, by way of unilateral novation, effective upon notice to you, Wisenet - A Division of Adapt IT for any third party that assumes our rights and obligations under this API TOS Agreement.


14.8 Potential Other Rights and Obligations. You may have rights or obligations under local law other than those enumerated here if you are located outside Australia.

Your privacy is important to Wisenet. This statement discloses the information practices for the Wisenet Website, including what type of information is gathered and tracked, how the information is used, and with whom the information is shared. Your use of this Website is governed by these Terms of Use.

 

Personal Information


In general, you can visit Wisenet on the Web without telling us who you are and without revealing any information about yourself. There are times, however, when we may need information from you.

You may choose to give us personal information, such as your name and address or e-mail that may be needed, for example, to correspond with you, to process an order or to provide you with a subscription or support services. Wisenet collects user information to make it easier and more rewarding for you to use our site. We collect non-personally identifying information about you in a number of ways, including tracking your activities through your IP address or most-recently-visited URL or through "cookies". We use such information to tailor the content, services and advertising on our websites to your current and future needs. We do not collect any personally identifying information about you unless you voluntarily submit such information to us. We request such information when you register for mailing lists/contests/promotions, download our trial software, register your software or submit a request for technical support. You will be asked to provide the personal information that we deem necessary to complete or participate in your selected activity. An Wisenet sales representative may call you to determine if you are interested in other Wisenet products. Such representative may ask you if you would like to receive additional information on our products and services. If you are not interested, please advise the Wisenet sales representative accordingly. From time to time, we may notify you about new products and services we are offering. If you do not want to receive such mailings, simply tell us when you give us your personal information.

 

Legal basis for processing Personal Information (EEA visitors only)


Our legal basis for collecting and using the personal information described above will depend on the personal information concerned and the specific context in which we collect it. However, we will normally collect personal information from you only where we have your consent to do so, where we need the personal information to perform a contract with you, or where the processing is in our legitimate interests and not overridden by your data protection interests or fundamental rights and freedoms. In some cases, we may also have a legal obligation to collect personal information from you.

 

Wisenet can aggregate Your non-personally identifiable data


By using the Service, You agree that Wisenet can access, aggregate and use non-personally identifiable data Wisenet has collected from You. This data will in no way identify You or any other individual.

Wisenet may use this aggregated non-personally identifiable data to:

  • Assist us to better understand how our customers are using the Service,

  • Provide our customers with further information regarding the uses and benefits of the Service,

  • Enhance small business productivity, including by creating useful business insights from that aggregated data and allowing You to benchmark Your business’ performance against that aggregated data, and

  • Otherwise to improve the Service.

 

Disclosure of Information in Special Circumstances


Wisenet will not otherwise disclose Your personal information to a third party unless You have provided Your express consent. However, Wisenet reserves the right to disclose information in special cases when we have reason to believe that disclosing this information is necessary to identify, contact or bring legal action against someone who may be violating Wisenet's Terms of Use or may be causing injury to or interference with (either intentionally or unintentionally) Wisenet's rights or property, other Wisenet users, or anyone else that could be harmed by such activities. Wisenet may disclose or access account information when we believe in good faith that the law requires it and for administrative and other purposes that we deem necessary to maintain, service and improve our products and services.

The third parties who host our servers do not control, and are not permitted to access or use Your personal information except for the limited purpose of storing the information. This means that, for the purposes of Australian privacy legislation and Australian users of the Service, Wisenet does not currently “disclose” personal information to third parties located overseas.

 

Retention


The length of time we keep your personal data depends on what it is and whether we have an ongoing business need to retain it (for example, to provide you with a service you’ve requested or to comply with applicable legal, tax or accounting requirements).

We’ll retain your personal data for as long as we have a relationship with you and for a period of time afterwards where we have an ongoing business need to retain it, in accordance with our data retention policies and practices. Following that period, we’ll make sure it’s deleted or anonymized.

 

Minors


Wisenet's site is not designed for minors and therefore does not collect or want any personally identifying information from children.

 

Passwords


Your Wisenet account information is password-protected so that only you are authorised to access this personal information. We strongly recommend that you do not divulge your password to anyone. Wisenet will not ask for your password in an unsolicited phone call or in an unsolicited email.

It is Your responsibility to keep Your password to the Service safe. You should notify us as soon as possible if You become aware of any misuse of Your password, and immediately change your password within the Service or via the “Forgotten Password” process.

 

Information Security and Quality


We intend to protect the quality and integrity of your personally identifiable information. We have implemented appropriate technical and organisational measures to help us keep your information secure, accurate, current, and complete. Your personal information is stored on secure servers that have SSL Certificates issued by Comodo, and all Data transferred between You and the Service is encrypted. Please refer to our Security Statement for more about our security arrangements and our data protection measures.

However, the Internet is not in itself a secure environment and we cannot give an absolute assurance that Your information will be secure at all times. Transmission of personal information over the Internet is at Your own risk and You should only enter, or instruct the entering of, personal information to the Service within a secure environment.

We will advise You at the first reasonable opportunity upon discovering or being advised of a security breach where Your personal information is lost, stolen, accessed, used, disclosed, copied, modified, or disposed of by any unauthorised persons or in any unauthorised manner.

We will make a sincere effort to respond in a timely manner to your requests to correct inaccuracies in your personal information. To correct inaccuracies in your personal information please return the message containing the inaccuracies to the sender with details of the correction requested.

You must not attempt to gain unauthorised access to any area, product, system or network from or related to the Site or to the Wisenet server by "hacking", password "mining" or any other illegitimate means.

 

International Transfer of Information


Your information may be processed outside of the country where you live. For individuals in the European Economic Area (EEA), this means that your data may be transferred outside of the EEA. Regardless of where we use, process, or store your data, we will comply with the protections set out in this Privacy Policy. Where we disclose personal data to a third party in another country, we put safeguards in place to ensure your personal data remains protected.

 

Cookies, Web Beacons and other Technologies


A cookie is an element of data that a Web site can send to your browser, which may then be stored on your system. Some Wisenet pages use cookies to better serve you when you return to the site. If you do so, however, some areas of some sites may not function properly.

We do not respond to or honour “Do Not Track” requests at this time.

If you do not agree to this policy, please do not access or use our site. Your continued use of the Wisenet site following the posting of changes to this Privacy Policy will mean that you accept those changes.

 

Credit Reports


1. The Buyer agrees for Wisenet to obtain from a credit reporting agency a credit report containing personal credit information about the Buyer in relation to credit provided by Wisenet.

2. The Buyer agrees that Wisenet may exchange information about the Buyer with those credit providers either named as trade referees by the Buyer or named in a consumer credit report issued by a credit reporting agency for the following purposes:
(a) to assess an application by the Buyer; and/or
(b) to notify other credit providers of a default by the Buyer; and/or
(c) to exchange information with other credit providers as to the status of this credit account, where the Buyer is in default with other credit providers; and/or
(d) to assess the creditworthiness of the Buyer.

The Buyer understands that the information exchanged can include anything about the Buyer’s creditworthiness, credit standing, credit history or credit capacity that credit providers are allowed to exchange under the Privacy Act 1988.

3. The Buyer consents to Wisenet being given a consumer credit report to collect overdue payment on commercial credit (Section 18K(1)(h) Privacy Act 1988).

4. The Buyer agrees that personal credit information provided may be used and retained by Wisenet for the following purposes (and for other purposes as shall be agreed between the Buyer and Wisenet or required by law from time to time):
(a) the provision of Goods and/or Services; and/or
(b) the marketing of Goods and/or Services by Wisenet, its agents or distributors; and/or
(c) analysing, verifying and/or checking the Buyer’s credit, payment and/or status in relation to the provision of Goods and/or Services; and/or
(d) processing of any payment instructions, direct debit facilities and/or credit facilities requested by the Buyer; and/or
(e) enabling the daily operation of Buyer’s account and/or the collection of amounts outstanding in the Buyer’s account in relation to the Goods and/or Services.

5. Wisenet may give information about the Buyer to a credit reporting agency for the following purposes:
(a) to obtain a consumer credit report about the Buyer;
(b) allow the credit reporting agency to create or maintain a credit information file containing information about the Buyer.

6. The information given to the credit reporting agency may include:
(a) personal particulars (the Buyer’s name, sex, address, previous addresses, date of birth, name of employer and driver’s licence number;
(b) details concerning the Buyer’s application for credit or commercial credit and the amount requested;
(c) advice that Wisenet is a current credit provider to the Buyer; 
(d) advice of any overdue accounts, loan repayments, and/or any outstanding monies owing which are overdue by more than sixty (60) days, and for which debt collection action has been started; 
(e) that the Buyer’s overdue accounts, loan repayments and/or any outstanding monies are no longer overdue in respect of any default that has been listed;
(f) information that, in the opinion of Wisenet, the Buyer has committed a serious credit infringement (that is, fraudulently or shown an intention not to comply with the Buyers credit obligations);
(g) advice that cheques drawn by the Buyer for one hundred dollars ($100) or more, have been dishonoured more than once;
(h) that credit provided to the Buyer by Wisenet has been paid or otherwise discharged.

 

Data Sovereignty


Wisenet contracts from Amazon Web Services to store customer data. The terms of our agreement can be found at: http://aws.amazon.com/agreement/

In order to offer high availability of the Service to customers, Wisenet operates in at least two Amazon Data Centre Regions, including Australia and Singapore.

All AWS data centres meet the following security standards, which are substantially similar the the Office of the Australian Information Commission APP Guidelines, the New Zealand Privacy Principles and the Singapore Personal Data Protection Act:

  • SOC 1/SSAE 16/ISAE 3402 (formerly SAS70)

  • SOC 2

  • SOC 3

  • PCI DSS Level 1

  • ISO 27001

  • CSA

All Data, including personal and non-personal information, that is entered into the Service by You, or automatically imported on Your instruction, is transferred to Wisenet’s servers as a function of transmission across the Internet. By using the Service, You consent to Your personal information being transferred to our servers as set out in this Policy.

By providing Your personal information to Wisenet, You consent to Wisenet storing Your personal information on servers hosted in Australia and Singapore. While Your personal information will be stored on servers located in Australia and Singapore, it will remain within Wisenet’s effective control at all times. The server host’s role is limited to providing a hosting and storage service to Wisenet, and we’ve taken steps to ensure that our server hosts do not have access to, and use the necessary level of protection for, Your personal information.

 

You may request access to Your personal information


It is Your responsibility to ensure that the personal information You provide to us is accurate, complete and up-to-date. You may request access to the information we hold about You, or request that we update or correct any personal information we hold about You, by setting out Your request in writing and sending it to us at info@wisenet.co. Wisenet will only keep Your personal information for as long as we require it for the purposes of providing You with the Service.

Wisenet will process Your request as soon as reasonably practicable, provided we are not otherwise prevented from doing so on legal grounds. If we are unable to meet Your request, we will let you know why. For example, it may be necessary for us to deny Your request if it would have an unreasonable impact on the privacy or affairs of other individuals, or if it is not reasonable and practicable for us to process Your request in the manner You have requested. In some circumstances, it may be necessary for us to seek to arrange access to Your personal information through a mutually agreed intermediary (for example, the Subscriber).

 

Ability to ‘opt-out’ of email communications


Wisenet sends billing information, product information, Service updates and Service notifications to You via email. Our emails will contain clear and obvious instructions describing how You can choose to be removed from any mailing list not essential to the Service. Wisenet will remove You at Your request.


You are responsible for transfer of Your data to third-party applications


The Service may allow You, or another Invited User within the relevant subscription to the Service to transfer Data, including Your personal information, electronically to and from third-party applications. Wisenet has no control over, and takes no responsibility for, the privacy practices or content of these applications. You are responsible for checking the privacy policy of any such applications so that You can be informed of how they will handle personal information.
