Wisenet Subscription Terms


Subscriptions are subject to the below Terms and are to be read in conjunction with the Wisenet Terms of Use.

 

Definitions

 

Minimum Spend: The minimum annual subscription fee as stipulated in this Quotation‌

Activity: Any add/edit/modification made to a learner record, included but not limited to:

 

  • Personal and contact information 
  • Compliance/demographic data‌
  • Enrolment (course or qualification) data‌
  • New message/communication sent via Wisenet‌
  • Attendance records‌
  • New document generated via uReport‌


LRM Active Learner: Learner record where ‘Is Active’ status is ‘Yes’ or where any Activity has occurred.

LRM Inactive Learner: Student record where ‘Is Active’ status is ‘No’.  Data is retained in Wisenet as ‘view only’ and no Activity occurs.

e-Learning Active Learner: A Learner is included as an e-Learning Active Learner when they have one (1) or more Enabled e-Learning enrolments in any given month.

LRM Active Learner Tier: The number of committed Active Learner records required by the Customer in any given month.

e-Learning Active Learner Tier: The number of committed Active Learners required to access e-Learning in any given month.

 

All Products


  • The annual minimum spend as stipulated in Your Quotation under First Year and Subsequent Annual Subscription Fees may be managed annually on invoice or via monthly direct debit (please refer to Payment Terms below for additional fees and charges).
  • All Implementation and Onboarding Fees (including, but not limited to, product training, data migration, technical or other services and any applicable travel costs for on-site service delivery) are payable in full at the commencement of the Subscription Term. Should the Customer choose to manage their subscription via monthly direct debit, these items will be debited in full along with the first monthly subscription fees.
  • Your Subscription includes on-going support services for one (1) nominated Wisenet Portal Administrator who will act as the point of contact for all support requests. Any support requests by other Users are to be lodged with the Portal Administrator in the first instance who will resolve the issue or submit a request to Wisenet if required.
  • Should the customer terminate the annual subscription (in accordance with the Wisenet Terms of Use), the Customer agrees to settle the final invoice for any overage in Active Learners, Elearning Enrolments, Sales+ Applications or SMS.

Wisenet LRM Per-Learner Edition Subscriptions

 

  • Per-Learner editions include unlimited Users.
  • The Wisenet LRM Per-Learner Editions are billed based on Active Learners.
  • A learner is considered as Active Learner when the ‘Is Active’ status has been set to ‘Yes’ at any time during a month regardless of duration.
  • It is the Customer’s responsibility to ensure that the learner ‘Is Active’ status is managed in a timely manner. Wisenet will not be responsible if the Customer neglects to update a learner status and will continue to invoice accordingly.
  • Wisenet will supply a learner status report to the Customer for reconciliation purposes.
  • Inactive Learner records are still accessible in View Only mode and hence can:
    • View all Learner data
    • View Enrolment data
    • View all Logbook records (File Notes, Tasks, Documents, Messages)
    • Included in Reports and government/compliance exports
  • A Learner will be metered as an Active Learner should any Activity be required to amend a learner record resulting from or required for a government/compliance export or report.
  • An Inactive Learner record cannot be updated or modified in any way either; via the Wisenet interface, Learncycle automation, integration connector or API call.
  • Inactive Learners will not have access to the Wisenet Learner App (student portal).
  • Increasing the Active Learner Tier may be applied at any time during the Subscription Term and a pro-rata invoice will be issued for the remainder of the current Subscription Term which is payable in full. Should the Customer manage their Subscription via monthly direct debit, the appropriate monthly amount will be added to the Customer’s existing direct debit arrangement. 
  • Reducing the Active Learner Tier may be requested at the time of annual subscription renewal only.
  • Should the Customer exceed their committed Active Learner Tier for a month, Wisenet will raise an invoice in arrears for the Overage. Should the Customer manage their subscription via monthly direct debit, this amount will be automatically added to the regular direct debit amount.‌‌

 

Wisenet LRM Per-User Edition Subscriptions

 

  • Per-User subscriptions are based on a nominated number of Concurrent Users Seats (i.e. the maximum number of registered Users who can access the application at any one time).
  • There is no limit to the number of named Users, just how many who can log in concurrently.
  • Per-user editions include unlimited Learners.
  • Additional Concurrent Users can be purchased at any time and will be invoiced on a pro-rata basis to align with the Customer’s existing annual subscription renewal date.
  • Concurrent User Seats can not be decreased during an annual subscription period.  User Seats may be decreased by providing Wisenet with at least 30 days notice prior to the Customer's annual subscription renewal date.

Sales+ Module

 

  • The Sales+ Module will be included as part of the Customer's Wisenet LRM subscription at no additional charge.
  • Sales+ Pay-as-you-go Applications will be billed monthly in arrears at $20+GST per Application should the Customer not have a Discounted pre-purchased Sales+ Application Pack.
  • Discounted pre-purchased Sales+ Application Packs are available on an annual subscription basis. The Customer acknowledges and accepts that any unused pre-purchased Applications remaining at termination of subscription become void and no refund applies and are not transferable. Unused pre-purchased Applications will roll-over with continuous annual subscription renewals or upgrades.
  • A Sales+ Application is metered regardless of whether the application is accepted or rejected by the Customer. 
  • Should the Customer manage their subscription via direct debit, this amount will be automatically added to the following month's regular direct debit amount.

 

e-Learning Editions

 

  • e-Learner Editions are billed based on Active e-Learning Learners.
  • A Learner is included as an Active e-Learning Learner when they have 1 or more Enabled e-Learning Enrolments. There are three (3) types of e-Learning Metering events:
    • Activated – When the first e-Learning Enrolment is set to Enabled and the Learner is Enabled within the LMS
    • Deactivated – When the last e-Learning Enrolment is set to Disabled and the Learner is Disabled within the LMS
    • Continuing – At the start of the month all Learner’s with 1 or more Enabled e-Learning Enrolment(s) will be carried over
  • By default a new e-Learning enrolment will have a Status of Disabled so that it is not included in billing. Changing the status to Enabled can be done manually or using the e-Learning Enrolment Rules.
  • An Active e-Learning Learner record is counted only once per calendar month, regardless of the amount of e-Learning enrolment activity.
  • Should the Customer exceed their committed Active e-Learning Learner Tier for a month, Wisenet will raise an invoice in arrears for the Overage. Should the Customer manage their subscription via monthly direct debit, this amount will be automatically added to the regular direct debit amount.‌‌

 

 

Financial Services Fees

 

Payment Terms

Annual on Invoice 

  • Invoice for initial annual subscription including setup and on-boarding fees is payable in full prior to commencement of implementation.  Invoice will be issued on acceptance of Quotation. 
  • Subsequent annual subscription renewals will be invoiced in advance and payable in full prior to the subscription expiry date each year.  
  • All invoices are subject to the terms and conditions detailed in the Wisenet Terms of Use. 14 day payment terms are applicable to all invoices.​

 

Monthly Direct Debit

  • Payment by monthly direct debit is currently available to Australian and New Zealand customers only.
  • All direct debit arrangements will be managed via Ezypay. Ezypay Terms & Conditions apply.
  • A 10% premium will be applied to subscriptions paid by monthly direct debit.
  • A once-off Ezypay customer establishment fee of $2.00 will apply for new Customers.
  • The following transaction fees will apply depending on transaction type and jurisdiction
    • Bank/Building Society direct debits AU or NZ: $1.35 + GST per debit
    • Visa or Mastercard payments AU: 1.39% + $0.27 + GST per transaction
    • Visa or Mastercard payments NZ: 1.59% + $0.27 + GST per transaction
    • American Express payments AU or NZ: 1.99% + $0.27 + GST per transaction 
  • Failed payments will incur a $14.90 + GST failed payment fee.
  • Ezypay fees and charges are charged directly from Ezypay and are additional to amounts invoiced by Wisenet.‌
  • All Wisenet initial setup, on-boarding fees, and additional services as quoted will be debited in full along with the first monthly subscription instalment (10% surcharge will not be applied to amounts paid in full). 

Wisenet Payment Gateway

  • Payments processed using the Wisenet Payment Gateway will attract a transaction fee passed on by Stripe. Each jurisdiction has different rates:
    • Australia: 1.9% of payment with a minimum of AUD$0.30
    • New Zealand: 3.0% of payment with a minimum of NZD$0.30
    • Singapore: 3.5% of payment with a minimum of SGD$0.50
  • A Dispute Fee will apply when a cardholder questions a payment with their card issuer. Each jurisdiction has different rates:
    • Australia: AUD$25
    • New Zealand: NZD$25
    • Singapore: SGD$15
